5. FEES AND PAYMENT
Some features require payment. Fees are billed in advance on a subscription basis as disclosed at purchase. You authorise us (and our payment processors) to charge your payment method.
Subscriptions auto-renew unless cancelled before the end of the current period. Refunds are issued only as required by law or at our discretion.
We may change pricing with 30 days notice — continued use after notice constitutes acceptance.

6. INTELLECTUAL PROPERTY
The Service, including software, design, text, graphics, and trademarks, is owned by Your Company or its licensors and is protected by intellectual-property law. You may not copy, modify, or create derivative works without express written permission.

7. DISCLAIMERS
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR PURPOSE, OR NON-INFRINGEMENT. We do not warrant uninterrupted, error-free or secure operation.

8. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOUR COMPANY SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL.
OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE TWELVE MONTHS PRIOR TO THE CLAIM, OR US$100 IF NO PAYMENT WAS MADE.

9. INDEMNIFICATION
You agree to indemnify and hold harmless Your Company, its officers, directors, employees and agents from any claim or demand arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

10. TERMINATION
We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately.

11. GOVERNING LAW & DISPUTES
These Terms are governed by the laws of United States, without regard to conflict-of-law principles. Disputes shall be resolved in the courts located in United States, unless arbitration is mandated.

12. CHANGES TO TERMS
We may modify these Terms at any time. Material changes will be notified via email or prominent in-Service notice. Continued use after changes constitutes acceptance.
